A. Methodology Limitations & Scope Exclusion

"Users acknowledge that this free public tool utilizes a standardized heuristic model based on normalized EBITDA/Adjusted Net Profit and generalized sector multiples (ranging from 1.0x to 4.5x base values, adjusted for specific qualitative risk factors). This tool is explicitly not an asset-based valuation or a Discounted Cash Flow (DCF) model. It does not measure tangible physical assets, property, or stock inventory, which frequently form a major component of an Irish SME's ultimate transfer value. The outputs are designed solely to act as an initial conversational topline estimated benchmark with a financial advisor, and in no way constitute a formal or legal based  business valuation report and should not be relied upon as such."

B. Data Input Indemnification

"The accuracy of the Conservative, Mid-point, and Optimistic ranges generated is wholly dependent on the user correctly identifying 'Adjusted Net Profit' (including the accurate normalization of owner salaries, discretionary personal expenses, interest, tax, depreciation, and amortization). The platform operators provide no warranty, express or implied, regarding the accuracy of these inputs and accept no liability for financial decisions, business listings, or negotiation strategies formulated based on the tool's automated mathematical outputs". A seller of a business should only rely on professional advice provided by a qualified accountant or business broker before making any business sale related financial decisions.

To the fullest extent permitted by law:
